Be it enacted by the Senate and House of Representatives
in General Court assembled, and by the authority of the same,
as follows:
SECTION 1. Section 12 of chapter 652 of the acts of 1960 is hereby amended by adding the following paragraph:-
Notwithstanding the provisions of section five of chapter one hundred and twenty-one B of the General Laws or any other general or special law to the contrary, the members of the Boston Redevelopment Authority shall be constituted as and shall have the powers of and discharge the duties of the members of the Economic Development and Industrial Corporation of Boston as set forth in chapter one thousand and ninety-seven of the acts of nineteen hundred and seventy-one. For such purposes, said members shall constitute themselves separately and shall separately record all actions taken by them pursuant to said chapter one thousand and ninety-seven.
SECTION 2. Section 3 of chapter 1097 of the acts of 1971 is hereby amended by striking out the first three paragraphs and inserting in place thereof the following two paragraphs:-
There is hereby created a public body politic and corporate, to be known as the Economic Development and Industrial Corporation of Boston, in this act called the corporation, which shall be an instrumentality of the commonwealth, consisting of the five members of the Boston Redevelopment Authority. Each of the members shall be sworn to the faithful performance of his official duties as a member of the corporation. A majority of the five members shall constitute a quorum for the transaction of any business, but the action of a majority of the entire membership shall be required for any transaction. For the purposes of section eleven A of chapter thirty A of the General Laws, the corporation shall be deemed to be an authority established by the general court to serve a public purpose of the commonwealth.
The members of the corporation shall serve terms concurrently with the terms served as members of the Boston Redevelopment Authority. All matters pertaining to vacancy, reappointment and removal of the members of the said corporation shall be governed by sections five, six and seven of chapter one hundred and twenty-one B of the General Laws. For the purposes of chapter two hundred and sixty-eight A of the General Laws, the members of the corporation shall be deemed to be special municipal employees.
SECTION 3. The terms of the members of the Economic Development and Industrial Corporation appointed prior to the effective date of this act are hereby annulled.
SECTION 4. No act authorized to be taken by the members of the corporation pursuant to chapter one thousand and ninety-seven of the acts of nineteen hundred and seventy-one shall be construed to be an act of the Boston Redevelopment Authority, nor shall any act of the members of said authority be deemed to be an act of said corporation, and nothing in this act shall be deemed to authorize any action by the corporation giving rise to any debt, obligation, responsibility or liability on the part of said authority.
SECTION 5. Nothing in this act shall be deemed to impair any existing obligation of the corporation including any bonds issued under the authority of chapter one thousand and ninety-seven of the acts of nineteen hundred and seventy-one.
SECTION 6. This act shall take effect upon its passage.
