An Act relative to written agreements with distributors.

 

Be it enacted by the Senate and House of Representatives in General Court assembled, and by the authority of the same, as follows:
 

SECTION 1. Section 25E of Chapter 138 of the General Laws as appearing in the 2016 Official Edition, is hereby amended by inserting after the first paragraph, the following:-

“All distribution agreements between a manufacturer and a wholesaler or distributor shall be in writing, signed by the parties or their authorized agents. Relationships between a manufacturer and a wholesaler or distributor shall be governed by the parties’ written agreement, the law of contracts, and/or other generally-applicable provisions and principles of commercial law.”

SECTION 2. This Act shall apply to all relationships existing as of the effective date, and all agreements and relationships entered into after the effective date.
